Key takeaways
- The FTC’s removed nationwide rule does not decide a particular covenant’s enforceability.
- Match each proposed restriction to the person’s actual role and transaction documents.
- A nonsolicit label or sale label does not replace review of conduct and applicable law.
Name the protected interest and affected person
Begin by describing the business concern in plain language. The buyer may fear a seller reopening nearby or misusing confidential information. Staff or client solicitation can raise other concerns. Those concerns involve different conduct. They should not automatically produce identical restrictions for an owner, administrator and licensed clinician.
Name the person asked to agree, the activity being restricted and the document containing the request. Record the person's ownership and employment roles. Identify any consulting services or licensed clinical work as well. Someone with several roles may need more than one distinct review.
Use the complete selling guide for the larger deal process. This guide builds the evidence package for counsel's restriction review. It does not provide contract clauses, suggested durations or an enforceability opinion. A clear factual record is more useful than copying language from an unrelated sale.
Use the current federal status
The FTC's nationwide noncompete rule should not be treated as an operative ban. A February 12, 2026 Federal Register rule removed 16 CFR part 910 following the litigation and vacatur described in that notice. The removal became effective that day. (Source: FTC final removal rule, 91 FR 6507–6510)
This status does not establish that a particular restriction is enforceable. It also does not make the inactive rule's former sale exception a nationwide safe harbor. Applicable state law, the actual agreement and the person's role still require review. Preserve the date of the legal review because rules and litigation can change.
When someone supplies an article about the federal ban, check its date and the event it describes. A 2024 announcement, a 2025 appeal report and the 2026 removal address different stages. Ask counsel which current authorities govern the proposed agreement rather than attaching an old headline to the closing checklist.
The deal team should receive a practical answer tied to the actual request. That answer might require revised facts, narrower activities or a different business response. Do not replace an unresolved review with the assumption that federal rule removal settles every issue.
Separate the sale and employment records
Create separate rows for each agreement and the capacity in which the person signs it. A seller may also sign an employment agreement after closing. Retained work duties do not erase the need to review the sale document. Sale proceeds do not automatically validate every employment restriction.
| Record to identify | Facts to collect | Distinction for review |
|---|---|---|
| Seller covenant | Interest or goodwill sold and actual parties | Sale-related basis and covered activity |
| Employment provision | Employer, work location and agreement dates | Employee rules and applicable law |
| Consulting arrangement | Services, control and actual working relationship | Classification beyond the contract title |
| Licensed practice provision | License, clinical role and patient responsibilities | Profession-specific requirements |
| Confidentiality or nonsolicit term | Exact conduct and information covered | Separate scope and legal treatment |
Read the asset versus stock sale guide when identifying what is being transferred. Keep the ownership records consistent across the purchase schedules and requested covenants. A draft may name the wrong seller or assume a full exit. Correct those facts before relying on the legal analysis.
Compare narrowly scoped state examples
California Business and Professions Code 16601 describes specific sale-related circumstances involving goodwill, ownership interests or operating assets. Its text also addresses the geographic area and continuation of the relevant business. The actual path and conditions matter; the fact that a deal is called a sale does not answer them. (Source: California BPC 16601)
Minnesota section 181.988 takes a different approach to covered employment noncompetes and identifies sale and dissolution exceptions. Its definition excludes certain confidentiality and nonsolicitation agreements. Exclusion from that definition does not establish blanket approval of the excluded terms under every applicable law. (Source: Minnesota Statutes 181.988)
Minnesota's enacting law made that section effective July 1, 2023 for contracts and agreements entered into on or after that date. Record agreement dates rather than assuming the same analysis governs every older document. (Source: Minnesota Laws 2023, chapter 53, article 6)
These are examples of why the review needs facts, dates and jurisdiction. They are not a comparison of every state's rules. Ask counsel to name the applicable law and explain which part of the deal supports any claimed exception.
Identify licensed practice and business roles
Texas law illustrates another distinction. Sections 15.50 and 15.501 contain provisions directed to physicians and specified other licensed practitioners, including nurses. Section 15.50 distinguishes administrative management from the practice of medicine for its stated purpose. It also identifies a limited hospital or ambulatory surgical center ownership provision. (Source: Texas Business and Commerce Code 15.50–15.501)
Do not turn that limited ownership provision into a general exception for every senior-care company. A physician's individual clinical restriction and a business ownership arrangement are different facts to review. The statute names specific professional categories. Employment by a healthcare business does not place every person in the same category.
Describe the person's work before and after the sale. Identify clinical practice, administrative duties, ownership and consulting separately. Ask the professional to review continuity-of-care needs with qualified advisers. A promise to protect acquired goodwill should not become an unexplained instruction that disrupts a patient's care.
The workforce and value guide helps assess dependence on people and operating roles. Use that analysis to understand the business concern. It does not establish the legal scope of a restraint or guarantee that employees will remain after closing.
Check a fictional ownership schedule
Assume a fictional nonmedical home-care company has 100 ownership units before a sale. Owner A holds 60, B holds 30 and C holds 10. A sells all 60 units, C sells all 10, and B retains all 30. Employee D owns no units and is asked to sign a separate employment document.
These invented facts are a document-reconciliation exercise, not a legal conclusion. No licensed clinical practice is included in the example. Assume there are no other units, options or transfers solely to make the ownership arithmetic complete. A real review must verify any other rights and arrangements.
| Fictional person | Units before sale | Units transferred | Units retained | Record requiring separate review |
|---|---|---|---|---|
| A | 60 | 60 | 0 | Seller documents and any later employment |
| B | 30 | 0 | 30 | Continuing ownership and any work agreement |
| C | 10 | 10 | 0 | Seller documents and any later services |
| D | 0 | 0 | 0 | Employment document and actual work role |
| Total | 100 | 70 | 30 | Buyer receives 70; B retains 30 |
Check both sides independently. The sellers transfer 60 plus 10, or 70 units. The buyer's 70 units plus B's retained 30 equal the original 100. A and C each dispose of all their own interests, although C held only 10 of the company's 100 units.
That last distinction is a fact for counsel, not proof that a sale exception applies. The schedule also does not turn D into a seller or establish which restrictions B may accept. Match each requested covenant to the correct person, deal documents and governing requirements.
Map activities without drafting a clause
Next, describe the conduct that concerns the buyer. Distinguish operating a competing business, actively recruiting staff, contacting clients and using protected information. A phrase such as helping a competitor can hide several distinct activities. It may even include transition work expected of the seller.
| Proposed concern | Concrete activity to describe | Question for counsel and the business team |
|---|---|---|
| Competing operation | Owning or running a named type of service | Which acquired interest supports the request? |
| Staff solicitation | Specific outreach or recruiting conduct | How is this distinguished from ordinary hiring? |
| Client solicitation | Specific contact and purpose | How are resident choice and care needs addressed? |
| Information misuse | Identified confidential records or methods | What information and permitted uses are involved? |
| Transition support | Approved introductions or ongoing services | Does the proposed restriction conflict with the work? |
Use the NDA and confidentiality guide for controlled information use. Protecting information and restricting future work require separate analysis. Renaming a broad restriction as a confidentiality or nonsolicitation provision does not by itself resolve the underlying scope question.
Keep this worksheet descriptive. It should help counsel understand the commercial request without pretending to be a drafted clause. The legal wording, exceptions and remedies need to reflect the actual jurisdiction and facts.
Align the restriction with a workable transition
Compare the requested restriction with every post-sale duty. A seller may be expected to introduce referral contacts, explain workflows or support a leadership change. Identify which contacts and activities the business expects, when they occur and who authorizes them. Do not leave the seller to guess whether required transition work is permitted.
The owner training and transition guide helps turn those duties into specific accepted tasks. Keep clinical authority and records access separately documented. The records custody guide supports the information side of that review.
If an earn-out depends on census or licensure, compare its operating assumptions with the person's permitted role. A payment formula should not assume that the seller controls decisions assigned to the buyer or licensed leadership. Resolve that mismatch in the deal review.
Also ask what the business will do if a key person leaves within the bounds of applicable law and agreements. A documented staffing and client-service response is useful even when counsel supports a proposed restriction. The covenant does not perform the person's daily work or create replacement capacity.
Prepare a counsel review package
Provide the full agreements, amendments, ownership schedule and a plain-language activity map. Include the person's work locations, residence where relevant, professional license and agreement dates. Identify planned changes from existing terms. Counsel should not have to reconstruct the basic transaction from a single isolated covenant paragraph.
Ask for conclusions tied to specific facts and limitations. Record which agreement and version were reviewed, which issue remains open, and who must supply the missing evidence. If a revised transaction changes the ownership path or employment arrangement, return the changed facts for review.
Keep the business response distinct from the legal conclusion. The team may need better retention planning, clearer transition duties or a narrower commercial request. Base those choices on the business need and available options. A longer restriction does not automatically provide more protection.
Before signature, compare the final documents with the reviewed version. Confirm that definitions, parties and referenced schedules still match. Retain the dated review record so the parties can later distinguish an agreed limitation from an assumption made during negotiations.
Common mistakes
An old federal-ban headline can mislead the review. So can treating the removed rule's sales exception as current nationwide permission. Another error is applying an owner covenant to every employee because the company is being sold. These approaches skip the current law and person-specific facts.
Errors also include counting a retained owner as a complete seller. Overlooked practice rules and a misplaced reliance on nonsolicit labels create separate problems. The ownership and activity worksheets help identify those questions. They do not replace the legal analysis needed to answer them.
Finally, avoid treating enforcement as the entire continuity plan. Staff relationships, care obligations, information access and permitted transition work still need attention. The buyer needs a plan for when the expected person is unavailable. A proposed contract remedy does not perform that person's work.
Summary
A sound restriction review begins with the person, role, activity, agreement and applicable law. Current federal status is only one input. The state examples and fictional ownership schedule show why a sale label or job title cannot complete the analysis.
Bring the ownership reconciliation and activity map to qualified counsel before finalizing the documents. Use the resource library for the related transition and deal questions. The result should be a reviewed, workable arrangement supported by the facts. The operating plan must also be able to carry out the sale.
Frequently asked questions
Is the FTC nationwide noncompete rule currently operative?
The February 12, 2026 final rule removed 16 CFR part 910 after the described litigation and vacatur. That status does not establish whether a particular agreement is enforceable under other applicable law.
Does the removed rule’s sale exception provide a nationwide safe harbor?
No. Do not use inactive rule text as operative national permission. Have counsel review the actual transaction, parties and applicable state requirements.
Can a seller’s later employment agreement need a separate review?
Yes. Identify the capacity and conduct covered by each document. Sale proceeds and continuing employment do not automatically make the same analysis appropriate for both agreements.
Does Minnesota’s exclusion of nonsolicits mean all such terms are valid?
No. Exclusion from that statute’s noncompete definition does not establish approval under every applicable law. Review the actual conduct and agreement rather than relying on its label.
Why does the fictional minority seller’s complete exit matter?
C owns 10 units and sells all 10. That differs from retaining part of C’s interest. It is one factual input for counsel, not proof that an exception applies.
Does the ownership exercise turn Employee D into a seller?
No. D owns and transfers zero units under the assumptions. D’s employment document and actual role require their own review rather than inheriting the sellers’ classification.
Do Texas practitioner provisions cover every healthcare employee identically?
No. The cited provisions identify particular licensed-practice categories and distinctions. Review the person’s actual license, duties and agreement rather than treating employment by a care business as the complete test.
What should accompany a proposed covenant for counsel?
Supply complete agreements, dates, ownership records, work locations and a concrete activity description. Identify clinical and transition duties so the review can address the actual arrangement and any unresolved conflicts.
